AdJack Weekly Sweepstakes

DATES OF PROMOTION: The AdJack, Inc. 2009 Weekly Sweepstakes (the “Promotion”) officially begins at 6:01 p.m. Eastern Time (“ET”) on February 05, 2010 and officially ends at 6:00 p.m. ET on February 12, 2010 (the “Promotion Period”).

ELIGIBILITY: The Promotion is open to legal U.S. residents of the 50 United States and the District of Columbia, excluding residents of New York and Florida (the “User”). Users must be 18 years of age or older and have a unique, personal and valid social security number at the time of entry. Investors, employees and contractors directly associated with AdJack Inc. (the “Sponsor”), their immediate family members (parents, children, siblings or spouses, regardless of where they live, or persons living in same household, whether related or not), and any others engaged in the development, production, execution or distribution of this Promotion are not eligible to participate. The Promotion is void in Puerto Rico, New York, Florida, and wherever else restricted or prohibited by law.

HOW TO PARTICIPATE: Visit http://adjack.tv. (the “Website”) during the Promotion Period and complete the following steps to enter the Promotion:

Step 1: VIEW VIDEOS (the “Videos”): View at least five Videos on the video viewer found on the home page of the Website. To view a Video, select the Video thumbnail or the Video title. Once you have completely viewed a Video, a yellow ball containing a number between 1 and 35 (the “Yellow Ball”) will be immediately generated and placed in the upper right corner of the Website. When a User completes viewing the fifth Video, the Sponsor will generate the final yellow ball and one (1) green ball, containing a number between 1 and 5 (the “Adjack Ball”) which will immediately appear in the upper right corner of the Website. You must view at least five Videos in order to receive your five (5) Yellow Balls, and your one (1) AdJack Ball (the “Entry”) to advance to Step 2.

Step 2: SUBMIT ENTRY: Completion of five Video viewings automatically prompts you for entry, where you will have the opportunity to either (a) keep the original Entry by pressing the “submit” button; or (b) edit the original Entry. To edit your original Entry, type five (5) new numbers between 1 and 35, each associated with a Yellow Ball, and one (1) new number between 1 and 5, associated with the AdJack Ball in the blank entry field. Then press the “submit” button. By clicking the “submit” button you will finalize your original or new Entry and advance to Step 3 to Register/Log-on. PLEASE NOTE: Numbers can not repeat within the first five Yellow Ball numbers, but a number may be repeated for the sixth AdJack Ball number. For Example: The Number “2” may appear only once within the first five Yellow Ball numbers, but may be selected as the sixth AdJack Ball number.

Step 3: REGISTER OR LOG-ON:
NEW MEMBERS: When prompted, complete the entire registration form including your first name, last name, zip code, age and email address. Then create a user name, provide a unique password and press the “submit” button in order to complete your registration and receive entry into the Promotion. If you have already registered on the Website, enter your username and password and press the “submit” button in order to receive entry into the Promotion.

Regardless of the number of videos viewed, there is a limit of one (1) Entry per User/email address per day during the entire length of the Promotion. The maximum number of Entries per User/email address for the entire Promotion Period is eight (8) (members can submit twice on Friday; once before the drawing and once after). Each Entry consists of five (5) yellow balls and one (1) AdJack ball. You must complete the entire registration/logon process in order to be eligible for the Promotion. If you abort the registration/logon process before it is complete, or if you intentionally un-configure before the end of the Promotion, you will not be eligible to win. Any attempt by any User to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations, logins, and/or any other methods will void that User’s Entries, that User will be disqualified from the Promotion, and any prizes won by such User will be forfeited. In the event of a dispute regarding the identity of the User submitting an Entry, the Entry will be deemed submitted by the User in whose name the email account is registered. Each potential winner will be required to show proof of being the authorized email account holder. Entries will be deemed made by the authorized account holder of the email address submitted at the time of entry. The authorized account holder is the natural person who is assigned to the email address by an Internet access provider, on-line service provider, or other organization that is responsible for assigning email addresses, or the domain associated with the submitted email address. In the event a potential winner’s email address is assigned via a sub-account, the potential winner will be required to show proof of assignment to such email address from the authorized primary account holder as defined above. Adjack, Inc. will not verify receipt of Entries from Users. Adjack, Inc. is not responsible for lost, late, misdirected, or any other technical malfunction of any entry.

CONTINGENT EVENT/SWEEPSTAKES DRAWING: On or about February 12, 2010 at approximately 6:00 p.m. ET, Adjack, Inc. will conduct its online sweepstakes drawing. Members do not need to be present (logged in) to win, however, AdJack will prompt logged-in users online via a pop-up window, to submit one (1) winning number between 1 and 35 (the “Winning Yellow Ball”). Once a total of five (5) distinct Winning Yellow Balls are submitted, Adjack, Inc. will randomly select one (1) additional number between 1 and 5 to represent the Winning Adjack Ball. The five (5) Winning yellow Balls and the one (1) Winning Adjack Ball will then be posted immediately online. Please note: In order to be selected for a chance to submit a Winning Yellow Ball, you must be logged on to the Website. The first five (5) distinct Winning Yellow Balls will be determined based upon the order in which they are received by Adjack, Inc.

All submitted Entries will then be audited against the five (5) Winning Yellow Balls and the one (1) Winning Adjack Ball. Potential prize winners will be determined as follows:

MadJack: In order to be determined a winner of the MadJack, a User must: a) have all five (5) Yellow Balls match, in any sequential order, all five (5) Winning Yellow Balls, AND (b) match the AdJack Ball exactly with the Winning AdJack Ball.
MoJack: In order to be determined a winner of the MoJack, a User must have all five (5) Yellow Balls match, in any sequential order, all five (5) Winning Yellow Balls.
CrackaJack: In order to be determined a winner of the CrackaJack, a User must: a) have four (4) of the five (5) Yellow Balls match, in any sequential order, four (4) of the five (5) Winning Yellow Balls, AND (b) match the AdJack Ball exactly with the Winning AdJack Ball.

If a submitted Entry matches the Winning Yellow Balls and/or Winning AdJack Ball as outlined above, the authorized account holder or confirmed sub-account holder of the email address wins that prize, subject to verification. Sponsor’s decisions are final and binding. In the event more than one Entry is determined to be a winner for any of the prize levels, the total value of the respective prize will be divided equally among those Users who have been verified as winners. In the event that an Entry is not determined to be a winner for any of the prizes available, no prize will be awarded. Potential prize winners will be notified by email within one (1) week (seven days) of the drawing and are subject to verification. If any prize notification is returned as undeliverable, prize will be forfeited and no prize will be awarded.

ODDS OF WINNING:

MadJack: The odds of matching all five (5) Winning Yellow Balls in any sequential order and the one (1) Winning AdJack Ball are 1:1,623,160.
MoJack: The odds of matching all five (5) Winning Yellow Balls in any sequential order are 1:405,790.
CrackaJack: The odds of matching any four (4) of the WinningYellow Balls in any sequential order and the one (1) Winning AdJack Ball are 1:10,821

PRIZES:

MadJack: One (1) prize of $500,000 cash. The total Approximate Retail Value (the “ARV”) of the MadJack is $500,000.
MoJack: One (1) prize of $25,000 cash. The total ARV of the MoJack is $25,000.
CrackaJack: One (1) prize of $1,000 cash. The total ARV of the CrackaJack is $1,000.

The maximum ARV of all prizes is $526000. The total ARV of any prize available will be divided equally among all winners in the event it is determined that more than one Entry has correctly matched the winning numbers associated with the respective prize. In the event that only one winner is determined, the total ARV of the respective prize will be awarded solely to that potential winner. No more than the number of prizes set forth in these official rules will be awarded. Prizes not claimed within the official fourteen-day period following each drawing will not be awarded. Limit of one prize per User/household. No prize substitution, except at Adjack, Inc.’s sole discretion or as otherwise provided herein. Prizes are not transferable prior to award. The value of all prizes are taxable as income and prize winners are solely responsible for any taxes on prizes, including, but not limited to all applicable federal, state and local taxes.

PRIZE CLAIMS: Except where prohibited, potential prize winners must sign and return to Adjack, Inc., within fourteen (14) days of receipt, an Affidavit of Eligibility/Liability/Publicity Release (the “Official Release”) in order to claim a prize. If a potential prize winner fails to return the signed Official Release and/or copy of a driver’s license or other standard identification within fourteen (14) days of receiving the Official Release, the potential prize winner forfeits his or her right to the prize and no alternate winner will be selected. Winners must report income to the Internal Revenue Service. All taxes are the sole responsibility of each prize winner. In the event it is deemed during the verification process that any potential winner does not have a unique, personal and valid social security number for Adjack, Inc. to report the tax liability associated with acceptance of the prize, potential winner will be disqualified and no alternate winner will be selected. Valid social security numbers will be determined by IRS requirements. Each potential winner consents to use of his/her name, likeness, biographical information, and voice in advertising worldwide without additional compensation (TN residents will not be required to sign a publicity release as a condition of winning a prize).

GENERAL RULES OF PARTICIPATION: By participating in this Promotion, Users, and winners release AdJack, Inc. and its independent administrator from any and all liability, damages or causes of action (however named or described) with respect to or arising out of participation in the Promotion, and/or the receipt or use/misuse of the prizes awarded, including, without limitation, liability for personal injury, death or property damage. By participating in this Promotion, Users agree to be bound by these official rules and the decisions of AdJack, Inc., which are final in all respects and not subject to appeal. AdJack, Inc. reserves the right permanently to disqualify from this Promotion any User it believes has violated these official rules. All federal, state and local laws apply. In the event any portion of this Promotion is compromised by activities beyond the control of AdJack; Inc. which, in the sole opinion of AdJack, Inc., corrupt or impair the administration, security, fairness or proper play of this Promotion, AdJack, Inc. reserves the right at its sole discretion to modify, suspend or terminate the Promotion. Winning a prize constitutes permission for AdJack, Inc. and its agencies to use winners’ names, addresses (city & state), voices and/or likenesses for purposes of advertising, promotion and publicity, for this Promotion only, without further compensation, unless prohibited by law. Adjack, Inc. and/or independent administrator are not responsible for lost, late, misdirected, undeliverable or incomplete Entries, whether due to system errors or failures, faulty transmissions or other telecommunications malfunctions, Entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer, typographical or system errors and failures, faulty transmissions, technical malfunctions, or otherwise. AdJack, Inc. may prohibit a User from participating in the Promotion or winning a prize if, in its sole discretion, it determines that said User is attempting to undermine the legitimate operation of the Promotion by cheating, hacking, deception, or other unfair playing practices or intending to annoy, abuse, threaten or harass any other User, AdJack, Inc., or independent administrator. If for any reason this Promotion is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud or any other causes beyond the reasonable control of AdJack, Inc. which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then AdJack, Inc. reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion and randomly draw from those Entries received up to the cancellation/suspension date. CAUTION: ANY ATTEMPT BY A USERTO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ADJACK, INC. RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES INCLUDING ATTORNEY’S FEES FROM ANY SUCH USER TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

NO LIABILITY: By participating, Users agree to release, discharge, indemnify and hold harmless AdJack, Inc. and its independent administrators and each of their respective officers, directors, employees, representatives and agents from and against any claims made by winners, Users, or any other third parties, related in any way to the operation of this Promotion as well as any other claims, damages or liability due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any prize or participation in any Promotion-related activity or participation in this Promotion.
